InagreeingtotheSEC』slargesteverpenaltypaidbyaWallStreetfirm,Goldmanalsoacknowledgedthatitsmarketingmaterialsforthesubprimeproductcontainedincompleteinformation

InitsApril16complaint,theSECallegedthatGoldmanmisstatedandomittedkeyfactsregardingasyntheticcollateralizeddebtobligation(CDO)itmarketedthathingedontheperformanceofsubprimeresidentialmortgage-backedsecuritiesGoldmanfailedtodisclosetoinvestorsvitalinformationabouttheCDO,knownasABACUS2007-AC1,particularlytherolethathedgefundPaulson&CoIncplayedintheportfolioselectionprocessandthefactthatPaulsonhadtakenashortpositionagainsttheCDO

InsettlementpaperssubmittedtotheUSDistrictCourtfortheSouthernDistrictofNewYork,Goldmanmadethefollowingacknowledgement:

GoldmanacknowledgesthatthemarketingmaterialsfortheABACUS2007-AC1transactioncontainedincompleteinformationInparticular,itwasamistakefortheGoldmanmarketingmaterialstostatethatthereferenceportfoliowas「selectedby」ACAManagementLLCwithoutdisclosingtheroleofPaulson&CoIncintheportfolioselectionprocessandthatPaulson』seconomicinterestswereadversetoCDOinvestorsGoldmanregretsthatthemarketingmaterialsdidnotcontainthatdisclosure
